During a recent Institute for Organization Management Governance Panel, industry experts Lisa Weitzel and Edward (Edd) McMurray unpacked the essentials of high-performing boards in chambers, associations, and nonprofits. They offered clear, actionable guidance on strengthening governance structures—from when to use governance committees to how to streamline meetings with consent agendas—equipping leaders with practical tools to boost efficiency and drive strategic impact.

The panel emphasized the bedrock principle that boards govern while staff manage, underscoring the importance of role clarity, strong board orientation, and disciplined use of agendas. Lisa and Edd shared strategies for handling common pain points, including how to address an overreaching chair, right-size a board without losing engagement, and retool legacy governance models that equate effectiveness with size. They also outlined best practices for building a capable executive committee, using nominating slates to avoid popularity contests, and documenting expectations so every board member understands their fiduciary role.

Relationship-building and compliance were central themes. The speakers highlighted how intentional engagement, consistent recognition, and clear pathways for “hands-on” contributors (via committees and task forces) can elevate board performance. They also stressed the value of conflict-of-interest policies, consent agendas, and signed role documents to maintain transparency and good standing. Practical advice was offered for involving elected officials—often best positioned as ex-officio, non-voting participants—to minimize conflicts while preserving valuable perspectives.

Drawing on real-world scenarios and lived experience, the session illustrated what differentiates well-governed organizations from those that struggle: a strategic, future-focused board that reserves meeting time for big decisions rather than operational minutiae. Attendees learned how to channel board energy productively, when employees should raise governance concerns through the proper chain of command, and how a concise strategic plan can anchor productive discussions and resource allocation.

The conversation also spotlighted evolving practices: shorter, more agile strategic plans; fewer standing committees in favor of project-based work; micro-volunteer opportunities; and the thoughtful integration of new tools and technologies. The panelists pointed to reputable resources and templates—from ASAE and ACCE to state associations and thought leaders like Bob Harris—to help organizations implement best-in-class governance.
